• 70% or US$595,000 (Five hundred ninety-five thousand US dollars) in either cash, or exchange with Baja California Coastal Property having equal value, and only upon seller’s approval.

-> Second investment of US $200,000:
• For the Development and Operational Expenses of Rancho Granada Subdivision; payable 50% at the closing of escrow and 50% upon securing F2 Permit with the City of Tecate which shall be deposited to the Company's Joint Account.
• This amount shall be matched by the Seller. The actual amount required for the development of the site may vary depending on the final development costs, but shall not exceed US$200,000 from each party, unless approved in writing and in advance by both parties. A disbursement schedule shall be prepared and monitored by Company's management and third-party accounting company.

As co-owners, the two companies will develop Rancho Granada, market and sell the 35 planned ranch-style residential and commercial parcels.
